Terms of Service (TOS)
Last Updated: 21 March 20261. THE AGREEMENT
1.1 This Terms of Service Agreement/Policy (“Agreement”) is a legally binding contract between Curzon Network (“the Company”) and the person or entity registered as a member (“the Member”).
1.2 By accessing, browsing, or using any infrastructure, applications, or security services (collectively “the Services”), the Member acknowledges they have read, understood, and agree to be bound by this Agreement, the Acceptable Use Policy (AUP), and all incorporated policies.
2. PROVISION OF SERVICES & RESELLER STATUS
2.1 Curzon Network acts as an authorised reseller of upstream infrastructure provided by third-party vendors, including but not limited to our upstream providers.
2.2 The Member acknowledges that Curzon Network’s ability to provide Services is contingent upon the performance and availability of these upstream providers.
2.3 All Services are provided on an “as-is” and “as-available” basis. The Company expressly disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
3. LIMITATION OF LIABILITY
3.1 To the maximum extent permitted by the laws of New South Wales and the Australian Consumer Law (ACL), the Company’s total aggregate liability for any claim arising out of or relating to this Agreement—whether in contract, tort (including negligence), or otherwise—shall be strictly limited to the total fees paid by the Member for the specific Service in the one (1) month immediately preceding the event giving rise to the claim.
3.2 In no event shall the Company, its directors, or its upstream providers be liable for any consequential, indirect, incidental, or special damages, including but not limited to loss of profits, loss of data, business interruption, or loss of reputation, even if the Company has been advised of the possibility of such damages.
4. INDEMNITY
4.1 The Member agrees to indemnify, defend, and hold harmless Curzon Network and its upstream providers from and against any and all claims, damages, losses, liabilities, costs, or debt, and expenses (including reasonable legal fees) arising from:
(i) the Member’s use of the Services;
(ii) any breach of these Terms or the AUP; or
(iii) any violation of third-party rights, including intellectual property or privacy rights.
5. DATA INTEGRITY & BACKUPS
5.1 The Member maintains sole and absolute responsibility for the backup, maintenance, and integrity of all data stored within the Services.
5.2 The Company does not provide guaranteed backup services. Any backups performed by the Company or its upstream providers are for internal disaster recovery only and are not intended for Member restoration.
6. AMENDMENTS TO TERMS
6.1 Curzon Network reserves the right to amend, modify, or replace these Terms, the AUP, and any associated policies at any time.
6.2 Amendments become effective immediately upon being published on the Curzon Network website.
6.3 The Member’s continued use of the Services following the publication of any changes constitutes an unconditional acceptance of the amended Terms. It is the Member’s sole responsibility to review these Terms regularly.
